Terms of Service

Welcome, and thank you for your interest in MindsDB, Inc. (“MindsDB,” “we,” or “us”). These Terms of Service (“Terms”) govern your use of:

• our websites at https://mindshub.ai, https://mindsdb.com, https://mdb.ai, and related websites and subdomains (the “Sites”); and
• the MindsHub platform and the MindsHub Cowork application (on the web and as a desktop app for macOS and Windows), the hosted agent runtime, the model router, and related hosted features (the “Service”).

These Terms are a legally binding contract between you and MindsDB. Please read them carefully. By using the Sites or the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, including the MindsDB Privacy Policy incorporated by reference. If you do not agree, you may not use the Sites or the Service.

If your organization has entered into a separate signed agreement or order form with MindsDB for the Service (for example, our Master Customer Agreement), that agreement governs your use of the Service instead of these Terms, to the extent of any conflict. Your use of any open-source software we publish is governed by the license that accompanies it (see Open-source software below), not these Terms.

Eligibility

You must be at least 18 years of age to use the Sites or the Service. By agreeing to these Terms, you represent that you are at least 18 and that your use complies with all applicable laws. If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

Changes to these Terms

We may make changes to these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, provide additional notice. Your continued use after changes take effect constitutes acceptance of the updated Terms. Disputes are resolved under the version of these Terms in effect when the dispute arose.

Your account

To use the Service you must create an account. You are responsible for the information you provide, for keeping your credentials confidential, and for all activity under your account. Notify us promptly at [email protected] if you believe your account has been compromised. You may add authorized users; you are responsible for their compliance with these Terms.

License to use the Sites and the Service

Subject to these Terms, MindsDB grants you a limited, non-exclusive, non-transferable, revocable right to (a) access and use the Sites to learn about our products and services, and (b) access and use the Service during your subscription to run and operate open-source AI agents on MindsDB-hosted infrastructure, connect your data sources and tools, store credentials in a vault, retain agent memory, produce and publish artifacts, and route model calls. No other use is authorized.

We may update, improve, or change the Sites or the Service at any time, and may add, modify, or remove features. We will not materially reduce the core functionality of a paid plan during a period you have already paid for.

Subscriptions, fees, and billing

• Plans and fees. The Service’s plans, prices, included usage, and any free trial or free tier are as described on our pricing page or as presented to you at signup. We may change them at any time; changes apply to new subscriptions and to renewals after the change takes effect. The plan and price that apply to you are those presented and accepted when you sign up or renew.
• Billing. If your plan requires payment, you authorize us and our payment processor to charge your payment method at signup and on each renewal until you cancel, at the then-current price. Subscriptions renew automatically for the period shown at signup unless cancelled.
• Cancellation. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current period. Except where required by law or stated otherwise at signup, fees already paid are non-refundable and not prorated.
• Payment processing. Payments are processed by a third-party payment processor, and we do not store full payment card numbers. Your provision of payment information is also subject to the processor’s terms and privacy practices.
• Taxes. Prices exclude taxes. You are responsible for any sales, use, VAT, GST, withholding, or similar taxes, other than taxes on MindsDB’s income.

Model providers and connected services

• Models. You choose the AI models the Service uses. You may connect your own model-provider accounts using your own API keys — in which case your use of those models is governed by your agreement with each provider, and you pay them directly — or route calls through the MindsHub model router, which sends your requests to third-party model providers we use to fulfill them. The providers we route to may change from time to time; current providers are identified on our website or available on request. Your use of routed models is also subject to the applicable model providers’ terms, and the content you submit may be transmitted to the selected provider to generate responses. You are responsible for choosing models and providers appropriate for your data.
• Connected data sources and tools. The Service lets you connect third-party data sources, applications, and tools. Your use of any connected third-party service is governed by your agreement with that third party, not these Terms. You are responsible for having the rights and permissions necessary to connect those sources and to let the Service access them on your behalf. We are not responsible for third-party services, including their availability, security, or how they use data they receive.

Current model providers and their terms. The MindsHub router currently routes to the third-party providers below. This list is current as of the date at the top of these Terms and may change without notice — the controlling terms for any request are those of the provider that actually serves it and, for open-source models, the model’s own license.

Open-source models carry their own licenses in addition to the serving provider’s terms, and may be served by different providers over time. When you connect your own provider accounts instead of the router, your agreement with that provider governs your use of those models.

Desktop application license

The Service includes a desktop application for macOS and Windows (“Desktop App”). Subject to these Terms, MindsDB grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Desktop App on devices you own or control, solely to access the Service. The Desktop App may automatically download and install updates, and you agree to receive them. Except as permitted by applicable law or by an open-source license that applies to a component of the Desktop App, you will not copy, modify, distribute, sell, rent, sublicense, reverse engineer, decompile, or disassemble the Desktop App, or remove any proprietary notices from it.

Your content and data

• Ownership. As between you and MindsDB, you retain all rights in the data, prompts, files, and other materials you provide to the Service and in the outputs the Service generates for you (“Your Content”). We do not claim ownership of Your Content.
• License to operate the Service. You grant MindsDB a worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely as needed to provide, secure, and support the Service for you — including transmitting inputs to the model providers and connected services you select.
• We do not train on Your Content. We do not use Your Content to train our own or third parties’ AI models, and we do not sell Your Content. Third-party providers’ use of data you send them is governed by your agreement with those providers.
• Credentials vault. Credentials you store in the vault are scoped per connection and encrypted. The Service uses them at runtime to access the sources you have connected; you remain responsible for the credentials you provide and the access they grant.
• Personal data. If Your Content includes personal data subject to data protection laws, our Data Processing Addendum applies to our processing of that data on your behalf, and you are responsible for having a lawful basis to provide it. Our handling of personal information is described in our Privacy Policy.
• Published artifacts. If you publish an artifact to a public link, you are responsible for its content and for not exposing anything you intend to keep private. You can unpublish artifacts you control.

Acceptable use

You will comply with all applicable laws when using the Sites and the Service, and you will not (and will not permit anyone else to):

• store, copy, modify, distribute, or resell any content or material available on the Sites (“Site Content”), compile it into a database, or use automated tools (e.g., robots, spiders) to access the Sites or Site Content, except as expressly permitted;
• use the Sites or the Service in violation of any law or third-party right, including intellectual property and privacy rights;
• upload or process content you do not have the right to use, or that is unlawful, infringing, or harmful;
• attempt to gain unauthorized access to the Sites, the Service, other accounts, or our systems, or probe, scan, or test their vulnerability without our prior written consent;
• interfere with or disrupt the integrity, performance, or availability of the Sites or the Service, or circumvent their access controls, usage limits, or security features;
• reverse engineer, decompile, or create derivative works of the Sites or the Service except to the extent permitted by law, or use them to build a competing product or service;
• rent, lease, sublicense, or resell access except as expressly allowed; or
• use the Service for High Risk Activities — uses where failure could lead to death, personal injury, or severe physical or environmental damage (such as life support, emergency services, or the operation of critical infrastructure). The Service is not designed for these uses, and we disclaim liability for them.

You are responsible for reviewing and validating the Service’s outputs before relying on them. AI outputs may be inaccurate or incomplete and are recommendations or information, not professional, legal, financial, or medical advice.

Open-source software

MindsHub is a platform for open-source AI agents, and parts of the Service interoperate with, or are built on, open-source software — including open-source agents and the MindsDB query engine. Open-source software we publish is licensed to you under the license that accompanies it in its source repository, not under these Terms. Nothing in these Terms limits your rights, or adds obligations, under those open-source licenses. Open-source software is provided “as is,” and the warranties, support commitments, and indemnities in these Terms do not apply to it. Running open-source software yourself, outside the hosted Service, is governed solely by its license.

Ownership

The Sites and the Service are owned and operated by MindsDB. Except for the rights expressly granted to you, MindsDB and its licensors retain all right, title, and interest in and to the Sites, the Service, the Site Content, and any trademarks, logos, or service marks (“Marks”), which are protected by intellectual property laws and treaties. Except as expressly authorized by MindsDB, you may not use the Sites, the Service, the Site Content, or the Marks.

Feedback

If you give us feedback, suggestions, or ideas about the Sites or the Service (“Feedback”), you agree that we may use it in any way, including in future modifications to the Sites, the Service, or our products. You grant us an unrestricted, perpetual, worldwide, fully transferable, irrevocable, royalty-free right to exploit the Feedback for any purpose.

Links and third-party content

The Sites and the Service may contain links to third-party products, services, and websites. We do not control and are not responsible for them, do not endorse them, and are not liable for any content or for any damage or loss caused by your use of or reliance on them. If you navigate away from the Sites or the Service, these Terms no longer govern, and you should review the applicable terms and privacy practices of the third party.

Privacy

Please read the MindsDB Privacy Policy for information about how we collect, use, store, and disclose personal information. The Privacy Policy is incorporated by reference into these Terms.

Disclaimer of warranties

YOUR USE OF THE SITES AND THE SERVICE IS AT YOUR SOLE RISK. THE SITES, THE SITE CONTENT, AND THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MINDSDB DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES OR THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR FIT FOR ANY PURPOSE. ANY MATERIAL OBTAINED THROUGH THE SITES OR THE SERVICE IS ACCESSED AT YOUR OWN RISK. MINDSDB DOES NOT DISCLAIM ANY WARRANTY OR RIGHT IT IS PROHIBITED FROM DISCLAIMING UNDER APPLICABLE LAW.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINDSDB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. MINDSDB’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SITES, OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS ALLOCATE RISK BETWEEN THE PARTIES, ARE AN ESSENTIAL PART OF THE BARGAIN, APPLY REGARDLESS OF THE THEORY OF LIABILITY, AND SURVIVE AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnity

You will indemnify and hold MindsDB and its affiliates, officers, agents, and employees harmless from any claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Sites or the Service, your violation of these Terms, or your violation of any law or third-party right. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate.

Term, suspension, and termination

These Terms apply while you use the Sites or have an account or use the Service. You may terminate by ceasing to use the Sites and by cancelling your subscription and closing your account. We may suspend or terminate your access, with or without notice, if you materially breach these Terms (including non-payment), use the Sites or the Service in a way that risks harm to others or to the Service, or as needed to comply with law. On termination, your right to use the Sites and the Service ends, and we may delete Your Content after a reasonable period except where retention is required by law. Provisions that by their nature should survive termination (including ownership, accrued fees, disclaimers, limitation of liability, and indemnity) survive.

General

These Terms, together with the documents they incorporate by reference, are the entire and exclusive agreement between you and MindsDB regarding the Sites and the Service, and supersede prior agreements on that subject. They are governed by the laws of the State of California, without regard to conflict-of-law principles, and the exclusive jurisdiction and venue for claims arising out of or related to these Terms, the Sites, or the Service lies in the state and federal courts located in San Francisco, California, to which you consent. You may not assign these Terms without our prior written consent; we may assign them at any time, including in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Section headings are for convenience only. “Including” means “including but not limited to.” If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
